These terms ("Terms") apply to qualifying referrals made by ABs for Eligible Products.
In these Terms:
"AB" means you, an accounting practice, bookkeeper, or accountant taking part in this programme;
"Apron", "we", "us", or "our" means Apron Payments Ltd, registered in England and Wales (company number 13779960), registered office at 201 Bishopsgate, EC2M 3AB, authorised by the Financial Conduct Authority;
"Client" means a business you refer to us for one or more Eligible Products;
"Eligibility Milestone" has the meaning given in section 2 with respect to each Eligible Product.
"Eligible Products" means the products listed in section 2 below.
"First Use Event" has the meaning given in section 2 with respect to each Eligible Product.
"Referral Programme" means this programme where you can earn rewards for referring clients;
"Reward" means the corresponding reward described in section 2;
The following Apron products or services can be taken into account under the Referral Programme:

You, as an AB, can join our Referral Programme if:
We may check your eligibility and ask for proof.
Our employees, directors, and their immediate family cannot join the Referral Programme.
For a referred client to be eligible for you to receive a referral Reward, the client must:
If the referred Client's KYB or verification fails or a participant is found to be ineligible, you will not be eligible for a Reward.
These Terms take effect from the date stated above and replace the previous referral programme terms and conditions, which are hereby terminated. Eligible referrals are only those made after such date, except that, if a referral would have been eligible for a reward under the previous referral programme terms and conditions, it may be taken into account under these Terms, provided that it satisfies all the requirements hereunder.

For the avoidance of doubt, only one Reward (per Eligible Product) will be available to you/your practice for each client successfully referred as set out in paragraph 6 below. If two practices or accountants refer to the same client, it will be the AB reporting the referral to us first (as set out in paragraph 5.4 below) who will be entitled to the Reward.
Subject to these terms, if a Client reaches one or more Eligibility Milestones, you will be entitled to a corresponding Reward.

You should submit your claim email as soon as possible, and in any event no later than the relevant First Use Event.
Subject to these Terms, when we have verified that the requirements described in these Terms are met, we will credit the referrer's individual Apron Points balance with additional Apron Points in the amount of the Reward. The Reward will be credited to the personal account of the individual referrer at the AB (not to the business account of the AB). The Apron Points may subsequently be converted into Virgin Points (subject to availability, terms, and conditions) and/or such other benefits as Apron makes available from time to time, as indicated in the user dashboard or otherwise communicated by Apron.
You only get one Reward per Eligible Product per Client, even if multiple ABs claim to have referred them.
You cannot refer yourself or a business you own.
We may limit how many referrals you can make.
The Referral Programme cannot be combined with other offers unless we say so.
We can change, pause, or end the Referral Programme any time, for any reason, by giving you written notice.
We can immediately stop your participation if you:
If we end the Referral Programme, we'll still consider reward claims based on the Terms when you made the referral.
Notwithstanding anything to the contrary in these Terms, the Referral Programme is a limited, discretionary offer with no contractual right of participation. It may be time-limited and/or may be closed at any time, in which case you will not be entitled to a Reward unless we have verified that you have satisfied all qualification requirements at the time of closure. In any event, we reserve the right to:
We are not responsible for technical failures, system outages, or other issues that may prevent participation in the Referral Programme.
You must:
Do not use spam or inappropriate marketing when referring clients.
Both you and we must follow UK data protection laws (GDPR and Data Protection Act 2018).
Please ensure you obtain all required consent from clients before sharing their personal information with us.
We handle personal data according to our privacy policy.
Our maximum liability under these Terms is limited to unpaid Rewards we owe you. Rewards have no cash value beyond the redemption value (if any) shown in your user dashboard.
We are not liable for indirect or consequential damages.
You agree to protect us from any claims arising from your participation or if you break these Terms.
These Terms are the complete agreement between us about the Referral Programme.
Our decision regarding eligibility, qualification, and all other matters relating to the Referral Programme is final and binding.
These Terms are governed by and construed in accordance with the laws of England and Wales.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
